Description and Contextualization of the SubjectToggle Navigation

Business Law is a compulsory subject taught in the first semester of the 4th year of the Bachelor's Degree in Business Administration and Management at the Faculty of Economics and Business (Sarriko).



The subject Business Law explores the basic legal concepts necessary for the development of a business activity in the market, complementing the legal knowledge acquired in the subject Introduction to Law (1st year), which must be mastered in order to take this subject, and, where appropriate, other legal subjects, such as Labour Law and Social Security Law.



The aim is for Business Administration and Management graduates to learn the fundamental concepts and the basic legal regime of the entrepreneur and business activity, whether carried out as a natural person or as a legal entity, so that they become familiar with the legal framework in which business activity is carried out and to which they must adapt their actions in this area.



Through the subject of Business Law, the legal regime of competition in the market, industrial property (inventions and distinctive signs), the regulation of the financial sphere, securities, and the insolvency situation of the business person are analysed. Special attention is paid to the legal status of the managers of an entrepreneurial activity.

COMPETENCIES:

Knowing and applying different areas of the legal system that have a direct impact on business activity, such as competition law, industrial property law, financial law, securities law and insolvency law. Understanding the social, legal and political reality in which markets and companies operate.



This will enable students, more generally:

a)Increase learning capacity;

b)Acquire a theoretical capacity for analysis and synthesis;

c)Critical and self-critical capacity;

d)To develop a capacity for fluent communication both orally and in writing;

e)Implant in the student a concern for quality and for a job well done.



LEARNING OUTCOMES:

The general objective of the subject is for students to obtain sufficient knowledge in the subjects specified in the syllabus. More specifically:

a) Identification, distinction and classification of the specific categories of company law;

b) Handling and understanding of legal texts related to company law;

c) Identification and understanding of problems related to the subject that arise in everyday business life;

d) Adequate search for appropriate legal solutions to conflicts in the matters expressed in the syllabus;

e) Elaboration and defence of convincing legal arguments, both orally and in writing by means of ordered and comprehensible documents;

f) Valuing the importance of company law as a regulatory system for business activity and relations.

The course will be taught according to the following class structure:



Lectures:

Exposition of the theoretical programme, highlighting those points considered most important. The aim is to provide students with an overview and interrelated view of the content of the programme, which will be useful for them to work on the complete programme with the help of the teaching materials indicated in this guide.



Seminars and classroom practice:

In these classes, some of the central questions of the subject are reinforced and topics of particular interest are studied in depth, working on different competencies linked to the degree and the subject. Based on different assumptions or cases that arise, after study and reflection, the question raised must be identified in order to then apply the legal framework for the most appropriate solution. Thus, the aim of the practical cases is, in accordance with the students' level of knowledge, to apply the fundamentals acquired to a specific case and to do so by means of an elementary legal argumentation, also maintaining a critical perspective, using legal, jurisprudential and doctrinal texts.



Seminars are usually used to present work, analyse cases, solve cases, solve problems or present a simple theoretical topic by the students. In this type of teaching, the professor is not the protagonist, limiting him/herself to listening, attending, guiding, clarifying, assessing, showing how things are done, or evaluating.



In classroom practice, the professor gives a practical presentation or resolution, for illustrative purposes, to a small group of students. Although he/she interacts with students, it is not the students who carry the weight of the class, but the professor. This type of teaching is also used to coordinate seminar groups, to distribute tasks, to transmit common guidelines on how to do the work and to present the main results of the work presented in the seminars.

Assessment system

The proposed assessment system is based on continuous assessment, assessing the progress of each student throughout the training period by means of different activities and assessment tests to ensure the development of all the competences and learning outcomes of the subject. These assessment tests may be carried out throughout the training period and may even be complemented with a test on the official date established for the exams. The assessment of the continuous assessment will be 100% of the final grade.



Ordinary call: Orientations and waiver.

In ordinary exams, the assessment will be continuous. However, in any case, students will have the right to be assessed by means of the final assessment system. To do so, they must submit a written waiver of continuous assessment to the professor. This exceptional system will consist of assessing the competences and learning outcomes through a final assessment test, which will take place during the official exam period.

Extraordinary Call: Orientations and DisclaimerToggle Navigation

There will be a final exam on the entire content of the programme, under the same terms as in the case of the ordinary call.
